| During his professional career, Mr. Guzeldere has
advised a number of local and foreign corporations and banks (including
Citibank and the former Turk Sakura Bank) regarding various aspects of
Turkish law, drafted and concluded numerous contracts, and consummated
several privatization transactions (including the block sale of NETAS
Northern Electronic Telekomunikasyon A.S.). He has provided legal
guidance for the establishment of hydroelectric power plants (including
Entek Elektrik Uretimi Otoproduktor Grubu A.S.), created cross-border
electrical energy sales and purchase agreements, participated in mergers
(including certain aspects of the merger of BP and Mobil involving
Turkish law), project financing (such as the Izmit Bay Bridge Crossing
Project), acquisitions (most recently, the sale of certain shares of
Cimentas to Cementir), and a number of joint venture projects. Having
participated in the legal aspects of the incorporation of the television
channel “atv”, Mr. Guzeldere acquired significant intellectual
property, media and advertisement law experience as a part of his duties
at Pekin & Pekin between 1992 and 1996. He has also undertaken the
incorporation of subsidiaries, branches and liaison offices for foreign
investors, and drafted and reviewed a wide variety of contracts, such as
bank loan, construction, joint-venture, and financing agreements. Mr.
Guzeldere has also participated in a number of commercial litigation
